Terms of Service

Welcome to [ResiPros] (“we,” “us,” “our”), a cloud-based CRM, sales, project management, and bookkeeping platform designed for U.S. home service professionals. By using our platform, you agree to these Terms of Service (“Terms”). Please read them carefully.

1. Acceptance of Terms

By creating an account or using our services, you agree to comply with and be bound by these Terms and our Privacy Policy. If you do not agree, do not use our platform.

2. Services Provided

Our platform offers tools to help home service professionals:

Manage jobs, estimates, invoices, payments, mileage, and expenses.
Share estimates and invoices with customers through a consumer portal.
Facilitate payments through Stripe Connect.

We do not guarantee specific results or business growth and are not responsible for financial, legal, or tax advice.

3. Fees and Payments

Our platform charges small transaction fees on payments processed through Stripe Connect. Stripe also charges a fee. Both of these fees are deducted from the total payment amount before funds are transferred to your account.
Our platform offers subscription plans from $99 per year or $9.99 per month. Monthly plans can be cancelled anytime. Free trials require a credit card to sign up but can be cancelled anytime before the end of the trial period to avoid charges.
Any future changes to our fee structure, including subscription fees, will be communicated to you in advance.

Platform transaction flat fee structure:

$1 for all transactions under $500
$5 for all transactions $500 and over

4. User Responsibilities

For Businesses:

Provide accurate and complete information about your business and customers.
Comply with all applicable laws, including tax and labor regulations.
Ensure customer information is collected and used in compliance with privacy laws.
Ensure that any fees, surcharges, or additional charges included in estimates or invoices comply with state and federal laws. Certain states may prohibit or restrict credit card surcharges as separate line items. Consult legal counsel if you are unsure about compliance.
You are solely responsible for any penalties, fines, or legal actions arising from non-compliance.

For Consumers:

Use the consumer portal responsibly to review, approve estimates, and process payments.

5. Restricted Business Categories

Our platform is intended exclusively for home remodeling and maintenance professionals. Sellers engaging in restricted business categories as defined by Stripe’s Restricted Businesses or selling prohibited products are not permitted to use our services. We reserve the right to terminate accounts in violation of this policy.

6. Data Collection and Privacy

We collect business and customer information to facilitate estimates, invoices, and payments.
Information is not shared with third parties except as required to provide our services (e.g., Stripe Connect onboarding).
We use cookies to track web performance and improve user experience. Please refer to our Privacy Policy for more details.

7. Account Security

You are responsible for safeguarding your account credentials. Notify us immediately of unauthorized access or security breaches.

8. Prohibited Activities

You agree not to:

Use the platform for illegal or fraudulent activities.
Interfere with the operation of our platform.
Attempt to reverse-engineer or exploit our platform.

9. Third-Party Services

Payments processed through Stripe Connect are subject to Stripe’s Terms of Service and Privacy Policy. We are not liable for issues arising from Stripe’s services.

10. Disclaimer of Warranties

Our platform is provided “as is” without warranties of any kind. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of our platform.

12. Modifications to Terms

We reserve the right to update these Terms. Significant changes will be communicated via email or platform notification. Continued use of the platform constitutes acceptance of revised Terms.

13. Termination

We may terminate or suspend your account if you violate these Terms. You may also terminate your account at any time by contacting us.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles.
